WILIŃSKI LEGAL

Business & Boards

In business, a lawyer is most valuable not when they know the greatest number of rules, but when they can translate them into a decision.

We support entrepreneurs, business owners and management-board members through a model that combines ongoing in-house support with litigation experience: from company law, restructuring and financial-organisational decisions to disputes, court proceedings and crisis situations.

Practice leadership

The Business & Boards practice is jointly led by Tomasz Wiliński and Magdalena Osińska-Wilińska

The practice combines two complementary working models: litigation and in-house support. Tomasz Wiliński is responsible for procedural strategy, commercial disputes, court proceedings and crisis situations. Magdalena Osińska-Wilińska is responsible for day-to-day legal support for businesses and boards, company law, restructuring, and accounting and financial-reporting issues. This gives clients support both for everyday business decisions and when a matter develops into a dispute or court case.

Litigation and disputes

Tomasz Wiliński

Attorney and managing partner. He is responsible for procedural strategy, commercial disputes, court proceedings, management liability and handling matters in crisis situations. He becomes particularly involved when a business decision turns into a conflict, court proceedings or a risk of liability.

In-house, companies and restructuring

Magdalena Osińska-Wilińska

Practising lawyer responsible for ongoing in-house support for entrepreneurs and management boards. She specialises in company law, restructuring, and accounting and financial-reporting issues. She completed postgraduate studies in company law, restructuring, and accounting and financial reporting, allowing her to assess management decisions not only legally but also from an organisational and financial perspective.

Scope of support

Ongoing board support

Day-to-day in-house support led by Magdalena Osińska-Wilińska includes company law, restructuring, accounting and financial-reporting issues, contracts, corporate decisions and relations with counterparties. Not every business needs the same thing

Management consultation

One specific decision, problem or need for a second opinion.

Products for management boards

Frequently asked questions

Does ongoing legal support mean buying hours?

It should not. A time limit protects both sides organisationally, but what the client primarily buys is access to a lawyer, continuity of knowledge about the business and responsibility for the recommendation.

When is an internal investigation worth conducting?

When there is a credible indication of misconduct, conflict of interest, breach of law, data exfiltration or conduct that may create liability for the organisation or management.

Should a lawyer participate in a business decision?

A lawyer does not replace management in making decisions. The lawyer should, however, identify risks, legal boundaries and the way the process should be documented so that the decision is made knowingly.
